These Terms of Service ("Terms") govern the use of the WrenchLane.com platform and related services. By accessing or using WrenchLane.com, you ("Customer", "you") agree to these Terms. If you do not agree, you must discontinue use.

1. Introduction

1.1 Who We Are

WrenchLane.com ("Company," "we," "us," or "our") provides AI-powered automotive diagnostics and workflow automation tools designed for corporate clients.

1.2 Scope of Terms

These Terms apply to all corporate clients using our Services. WrenchLane.com is not intended for private individuals or consumers.

1.3 Related Policies

By using our Services, you also agree to our [Privacy Policy] and [Data Processing Addendum (DPA)].

2. Services & Access

2.1 Service Description

WrenchLane.com provides AI-powered diagnostics, analytics, and automation tools for corporate automotive businesses.

2.2 Availability & Downtime

WrenchLane.com strives to maintain 99.9% uptime but does not guarantee uninterrupted service. We are not responsible for outages due to force majeure events or third-party provider failures.

2.3 Third-Party Services

We use trusted providers, including AWS, OpenAI, Stripe, and others. We may update third-party providers periodically and will notify customers if required by law.

2.4 YouTube API Services

Our Services use YouTube API Services. By using WrenchLane.com, you are also agreeing to be bound by the YouTube Terms of Service.

2.5 OEM Compliance Requirements

  1. Affiliation. WrenchLane is an independent business and is not sponsored by or affiliated with any OEM. Customer acknowledges that OEMs are not responsible for any goods or services provided to Customer by WrenchLane.
  2. Advertising Content. Customer shall not, without OEM’s prior review and express written consent, issue any press release, or issue or make any other public comment, or publish or broadcast any advertisement in any media, or disseminate any sales promotion materials, regarding its relationship with OEM. As soon as practicable after receiving such notice, OEM will either consent to the issuance of the proposed statement, advertisement or sales promotion materials or advise Customer of its objections thereto. OEM will discuss any such objections in good faith.
  3. Reputation. Customer will not engage, participate or otherwise become involved in any activity or course of action that diminishes or tarnishes the image or reputation of any of the Database(s).
  4. Third Party Beneficiary. Any OEM with data included in the Database(s) is an express third party beneficiary entitled to enforce terms outlined in this Agreement.
  5. Quality Standards. Customer covenants and warrants that the Product(s) sold or distributed by it shall be of a high standard of style, appearance and quality, shall be fit for their intended use, and shall be consistent with industry standards. Customer agrees that the Product shall meet or exceed any and all standards, regulations, guidelines, rules, laws, and the like in the Territory relating to materials similar to the Product.
  6. Liabilities. Any approval by OEM of any Product will not give rise to obligations or liability to OEM. Customer will not have any rights against OEM for damages or other remedy by reason of OEM failure or refusal to grant access to the Database(s).
  7. Product Samples. Upon request, Customer shall furnish free of charge for any OEM’s review and approval samples of (i) all advertising based upon the Database(s); (ii) the intended uses of the Database(s) by Customer in conjunction with the Product; and/or (iii) all packaging, labeling, point of sale materials, trade show displays, and sales materials containing, referencing or based upon the Database(s). Customer shall expressly grant to each OEM a non-exclusive, non-transferable, paid-up royalty-free, license, with no rights to sublicense to others, except to certain but not limited to such OEM’s affiliated companies to access, review, print, display and distribute for internal purposes only such Product or any portions thereof that such Customer creates or has created on its behalf for the sole purpose of determining the compliance of such Product with the terms of this Agreement. This includes no cost subscriptions of all Products to an OEM or its affiliated companies solely to determine compliance with the terms of this Agreement. Customer agrees to provide instructions to the OEM requesting the access to such Product for review upon request. In addition, Customer agrees, upon request, to provide a Product demonstration via WebEx or equivalent.
  8. Copyright Notices. Customer agrees to place the following OEM Copyright Notices in a prominent fashion on any product sold or distributed by the Customer that incorporates any of the Database(s).
    1. Chrysler/FCA Copyright. Portions of materials contained herein are sourced by FCA US, LLC.
    2. FORD Copyright. This product contains copyrighted and other protected material owned by FORD WrenchLane Company. Unauthorized use or reproduction, in whole or in part, is prohibited.
    3. General WrenchLanes. Portions of materials contained herein have been reprinted under license from General WrenchLanes, LLC, License Agreement #2310717, as amended or superseded.
    4. Honda Copyright. Portions of materials contained herein have been reprinted under license from American Honda Corporation, License Agreement 16203AH. The catalog and data included herein cannot be reproduced without the prior written consent of American Honda WrenchLane Co., Inc. Subscriber acknowledges that American Honda WrenchLane Co is the owner or exclusive licensee of Honda information and the Honda trademarks.

3. Account Registration & Management

3.1 Eligibility

You must be a legally registered corporate entity to use WrenchLane.com.

3.2 Account Responsibility

You are responsible for maintaining the security of your credentials. Unauthorized account sharing is strictly prohibited.

4. Fees & Payment

4.1 Subscription Fees

WrenchLane.com operates on a subscription basis. Fees are outlined in our pricing plans. Fees are non-refundable, except where required by law.

4.2 Billing & Renewals

Subscriptions automatically renew unless canceled before the renewal date. We may update pricing with 30 days' notice.

5. Acceptable Use Policy

5.1 Prohibited Activities

You may not:

  • Reverse-engineer, decompile, or modify our Services.
  • Use our Services for fraudulent or illegal activities.
  • Overburden our system with excessive API calls.
  • Use our application to train AI models.

5.2 API Usage

WrenchLane.com may impose rate limits on API usage.

6. Data Protection & Privacy

6.1 Compliance with Data Protection Laws

We comply with GDPR, CCPA, LGPD, and other applicable laws. For details on how we handle data, refer to our [Privacy Policy] and [DPA].

6.2 Use of Customer Data for AI Training

Purpose: By using our Services, you acknowledge that WrenchLane.com may process anonymized and aggregated customer data to enhance and improve our AI models, diagnostics, and automation tools.

Only non-personal, de-identified, and aggregated data will be used for AI training. WrenchLane.com does not use identifiable business information, proprietary data, or confidential records unless explicitly authorized.

6.3 Data Retention & Deletion

WrenchLane.com retains customer data for up to 90 days post termination. After this period, all customer-specific data is permanently deleted from our systems, except where legally required.

7. Intellectual Property

7.1 Ownership

WrenchLane.com retains all rights to its proprietary software and content.

7.2 License to Use

Customers receive a non-exclusive, non-transferable license to use our Services.

8. Limitation of Liability

8.1 No Warranty

WrenchLane.com is provided "as is" without warranties of any kind.

8.2 Liability Cap

Our total liability shall not exceed the total amount paid by you in the last 6 months.

9. Termination & Suspension

9.1 Termination by Customer

You may terminate your subscription at any time via account settings. No refunds are issued for early termination.

9.2 Termination by WrenchLane.com

We may terminate or suspend your account if:

  • You violate these Terms.
  • Your subscription fees remain unpaid.
  • Required by law.

10. Governing Law & Dispute Resolution

10.1 Jurisdiction

These Terms are governed by and construed in accordance with the laws of Sweden, without regard to conflicts of laws principles.

10.2 Dispute Resolution

Any disputes arising from or relating to these Terms shall be settled through binding arbitration in Stockholm, Sweden, in accordance with the rules of the Stockholm Chamber of Commerce (SCC).

If arbitration is not applicable due to mandatory legal provisions, disputes shall be settled in Swedish courts.
